An Overview

In April, 1996, the Delaware Valley Health Care Coalition, Inc.
(DVHCC) began its first contractual relationship with National
Prescription Administrators, Inc. (NPA) to provide ongoing pharmacy
benefit serivces to the Local Funds of the Coalition. Through the
years, since the initiation of the original agreement with NPA, the
Coaltion experienced exponential growth. Because of this
unprecedented growth, the DVHCC was able to renegotiate the terms
of the agreement with NPA; and in April, 1999, new rates were
agreed upon and the availability of new services and features were
added.

Precipitated by the purchase of NPA, in April 2003, the DVHCC
completed an extensive Request for Proposal process for a
Prescription Benefit Manager - resulting in a dual provider
arrangement with Express Scripts, Inc. (ESI) and National Medical
Health Card (NMHCRx).

Express Scripts, Inc. (ESI) purchased NPA in 2002. After careful
review, ESI was then selected as a Finalist in the DVHCC RFP process
and eventually awarded a contract. The hallmark of the ESI/DVHCC
relationship is ESI's total commitment to DVHCC and the Members.
ESI has a long and successful history for managing prescription drug
benefits for the members of Health and Welfare Funds. ESI currently
covers several million lives insured through health and welfare funds
throughout the country.

NMHCRx was also selected as Finalist in the DVHCC RFP process and
awarded a contract with the DVHCC. NMHCRx is an established
leader in managing prescription drug programs for unions, health
maintenance organizations, third-party administrators and local
governments. The Mission of NMHCRx is to improve members'
health through the timely delivery of effective pharmaceutical
products and services consistent with clients' benefit plan strategies.
The DVHCC's mission is consistent with and supportive of NMHCRx's
efforts.
